Try the Technics SA-AX7/AC-SH500D combination. I believe the receiver/surround processor last went for $399 at Crutchfield, so you can probably pick it up for $299/$349 at J&R, ShoppersAdvantage (if you are a member) or on some internet sites. For a desciption, go to panasonic.com and go to the Technics section. The receiver does all "surround receiver" things and the processor handles Dolby Pro-Logic, Dolby Digital and DTS in the digital domain.

By the way, this receiver has 6 amplifier outputs instead of the normal 5. Most surround receivers just have a line out for a powered sub, but this one (SA-AX 7 or the older SA-AX 6) gives you both an amplifier channel for a passive sub and a line level output for a powered sub.
